Terms of Service

1. Acceptance of Terms

By accessing or using ProCFO (“the Service”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. Service Description

ProCFO is a personal financial management tool that generates financial statements, tracks spending, and provides analytical insights based on data you provide or authorize us to access through connected financial institutions.

ProCFO is not a financial advisor, tax advisor, accountant, or investment advisor. Nothing in the Service constitutes financial, tax, legal, or investment advice. You should consult a qualified professional before making financial decisions.

3. Eligibility

You must be at least 16 years of age to use ProCFO. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

4. Account Registration and Security

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@procfo.ai if you suspect unauthorized access to your account.

The Service is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free access. We may perform scheduled maintenance, and we will endeavor to provide advance notice of significant planned downtime. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Intellectual Property

All rights, title, and interest in the Service (including its design, code, and branding) belong to ProCFO and its licensors. Your financial data remains yours. We claim no ownership over the data you provide or that is retrieved on your behalf from financial institutions.

10. Limitation of Liability

To the maximum extent permitted by law, ProCFO and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless ProCFO, its operators, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

12. Dispute Resolution

Informal Resolution First: Before initiating any formal proceeding, you agree to contact us at legal@procfo.ai and attempt to resolve the dispute informally for at least 30 days.

Governing Law: These Terms are governed by the laws of the State of Nebraska, without regard to conflict of law principles.

Jurisdiction: If informal resolution fails, any legal action shall be brought exclusively in the state or federal courts located in Lancaster County, Nebraska. You consent to personal jurisdiction in these courts.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.

13. Termination

You may delete your account at any time. Upon deletion, your data enters a 30-day soft-delete period and is then permanently purged (see our Privacy Policy for details).

We reserve the right to suspend or terminate your account if you violate these Terms or the Acceptable Use policy. Where possible, we will provide reasonable notice and an opportunity to cure the violation before termination. In cases of severe or repeated violations, we may terminate immediately.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may delete your account before they take effect.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ProCFO regarding the Service and supersede all prior agreements or communications.
